"'i-lon. Steven FLETCHER MLA ASSINIBOIA . taeteo mean NO . . ill May 2013 TABLEDW Ontario Securities Commission . 20 Queen Street West CLERK 20th Floor Toronto, Ontario MSH 358 The Manitoba Securities Commission 500-400 St. Mary Avenue Winnipeg, Manitoba R3C 4K5 Dear Sir/ Mam, Please-find enclosed a correspondence that i received from a Aikins. It appears that this law firm has made inaccurate and defamatory statements towards me as a Member of the Manitoba Legislature. One can only assume that the continuous harassment from Aikins is designed to intimidate legitimate public discussion. Moreover, the comments I made are in my role an MLA. It is disappointing to see a reputable law firm create a non?issue for their client. it is even more ironic, given that, the client has obviously retained legal services to protect Delta 9 from any number of situations. My comments are appropriate. The letters dated May 18th, 2018 and May 29th, 2018 from Aikins have impiicated their own client on issues that go far beyond any debate in the legislature. These letters have raised many questions that must be answered by the appropriate authorities. They have nothing to do with the conflictwofwinterest iegisiation that I introduced and championed in the Manitoba Legislature. in the letter from Aikins, who claims to be acting in the best interest of their client Delta 9 Cannabis, have ta ken comments made during a legislative debate on meritorious legislation on conflict?of?interest and have now turned the spotlight onto their own client. Steven MLA Delta 9 legal counsel has made linkages that have not been made until the legal counsel of Delta 9 put allegations in writing. In their letter they state ?somehow Delta 9 and its shareholders engaged in insider trading or some impropriety for financial gain. I believe that Delta 9 has been poorly represented by Aikins. Aikins claims that they represent the shareholders. That is a curious statement; does Aikins know all the shareholders and have a relationship with them? Or, do many of the shareholders have legal advice to protect their interests as shareholders? it seems that Aikins, by claiming that they represent all the shareholders and Delta 9, this demonstrates a different kind of conflict?of?interest. Aikins will know, or should know, the comments made in the legislature (including social media) are part of parliamentary privilege in Canada. The conflict-of-interest legislation is directed to the powers that be in the Manitoba Legislature. When a share of any company goes up by over 1300% in a few hours, questions will always be asked. in the context of the legislative debate, Delta 9 was an obvious example of people in decision making roles in the government, their families, dependants, and friends, could make a lot of money with information that is not available to the general public. One can say the same thing about penny stocks, mining claims, environmental regulation, land transfers, and so on. Aikins states that the pathetic conflict?of-interest legislation somehow suggests 9 and its shareholders to engage in insider trading or other impropriety for financial gain.? i said nothing of this sort, but now that Delta 9?s legal team has raised the issue, it does seem appropriate that the proper authorities are notified. The only party in this unfortunate exchange to "impugned? Delta 9 is their own legal counsel. I hope Delta 9 takes the advice outlined by the Aikins lawyer, but from a different perspective. If two tweets that are perfectly legitimate are a problem, then the letters sent from Delta 9?s legal representatives are far more damaging to Delta 9 and its shareholders. Perhaps, Delta 9 and its shareholders will see that their legal counsel has made false or misleading statements, devoid of merit and may severely damage the reputation of Delta 9 and its shareholders in the eyes of any reasonable person. As i understand it, where defamation is proved, substantial damages may be awarded without proof of actual loss or injury. Steven FL MLA This firm has made comments and innuendo about Conflict of interest legislation that have introduced in the Manitoba Legislature. Why Aikins is connecting my Conflict of Interest legislation with the company they claim to represent? Given, the seriousness of the issues that Aikins it seems reasonable that Manitoba Securities Commission, the Ontario Securities Commission, and any other jurisdictions where Delta 9 shares are traded should conduct an investigation. The trading of Delta 9 shares in the months before and after major movements in share price. Perhaps, between September 2017, to January 2018, with a very close look at trading in November 2017. in addition, any MLA, their spouses, dependants, may wish to cooperate with the various securities commissions. it also appears that the investigation should also include individuals at Aikins, their spouses, and dependants. This investigation should address the very comments Delta 9 legal counsel has raised. It aiso seems appropriate to ensure there is no conflict between representing the company Delta 9 and representing the shareholders. Commission may also want to consider the appropriateness of one of its compa ny?s apparent attempt to intimidate an elected public official on legislation and discussion around conflict?of?interest legislation which is proven over and over again to be completely inadequate and probably not worth the paper it is written on. - Delta 9 has no control on who buys and sells its shares. Why would their legal counsel implicate and equivocate and project problems onto their client. As far as I know, Delta 9 is a reputable company that obeys the laws of our land and may be a great economic driver in Manitoba. i wish Delta 9 nothing but success but i am jaw?smacked at the foolish letter sent by their legal counsel. Sincerely, .r?eiit? 7$h?h Honourable Steven Fletcher P.C, P.Eng, MBA Cc: CBC, CTV, Post Media, Radio Canada, BNN, CP, AP, others.
