Dear Mr. Ulfers:

In accordance with the provisions of your Employment Agreement with Dakota County Housing
and Redevelopment Authority, dated June 9, 1992 (the ?Employment Agreement? this letter
constitutes written notice that the Dakota County Development Agency 
intends to terminate the Employment Agreement and your employment with the CDA, for cause,
effective May 3, 2015.

This action is being taken for numerous reasons, including the following:

I. You have engaged in conduct that in the good~faith judgment constitutes
gross negligence. More speci?cally, it is alleged that you have consciously and
voluntarily engaged in conduct that shows a lack of even slight care and exhibits
reckless disregard of consequences, including: making nnWanted sexual and
romantic advances toward CDA staff; treating CDA staff differently based on
gender; (0) making inappropriate gender~ and age-based comments at work andfor
in the presence of CDA staff; creating a hostile work environment; and 
retaliating against CDA staff for participating in past and present workplace
investigations concerning you.

2. The conduct in which you are alleged to have engaged constitutes a material
breach of several Speci?c duties enumerated in the Employment Agreement,
including: your duty to ensure that CDA activities are Operated within federal
and state laws, regulations, policies, and procedures; and (19) your duty to ensrne
that all actions of the CDA are in compliance with the personnel policies.

3. You have also engaged in conduct that in the good?faith judgment
constitutes misrepresentation, including, most recently, misrepresenting to the
Board of Commissioners the circumstances surrounding a directonlevel
employee?s voluntary separation from employment with the CDA.

present your side of the story. If you desire such a meeting, call me immediately to schedule it.

In lieu of participating in a meeting, you may also respond to these allegations in melting. If you
wish to do so, yous? written response must be provided to me Within ten (10) calendar days of
your receipt of this letter.
