During the term of this Agreement, the County, shall provide web design, development and hosting (?Website?) to the City as listed on Exhibit A. In the event that a discrepancy exists between the terms of Exhibit A and this Agreement, the terms of this Agreement will be controlling and binding. 1.2 Term. The term of this Agreement shall commence February 1, 2015 and, unless earlier terminated in accordance with the provisions of this Agreement, shall continue in effect for a period of two years from the commencement date (2f1/ 15 to 1/31/17). ARTICLE II PAYMENT AND INVOICING 2.1 Payment. During the term of this Agreement, the City shall pay the County for the services outlined in Exhibit A. The City will be charged a maximum of Eight Thousand Fifty Eight Dollars for professional services including consultation, photography, web design, development, and hosting services for the new site to ?go-live.? The County has determined this cost by reviewing content on the current site, interviewing City staff on what content will exist on the new site, and estimating the amount of time it will take the County to create the page templates, load new content into page templates, and augment the pages with graphicsas deemed appropriate for the new site. The County does not anticipate the dollar amount will increase from this projection, however, should the amount of content or functionality desired by the City increase from what was originally projected, or should change requests be submitted as described in 5.0 of Exhibit A, the County will notify the City of any change in the total cost at least thirty (30)_days before the change goes into effect. _The.City may be charged'ongoing . maintenance costs after-I the'new site 'is live, as described in 4.7 of. Either party may terminate this Agreement, in whole or in part, whenever such party determines that the other has failed satisfactorily to ful?ll its material obligations and responsibilities hereunder and is unable to cure such failure within a reasonable period of time, not to exceed thirty (30) calendar days. Such termination shall be referred to as ?Termination for Default?. If the defaulting party is unable to cure the failure within the speci?ed time period, the party seeking to terminate may, by giving written notice thereof to the defaulting party, terminate this Agreement, in full or in part, as of the date speci?ed in the notice of termination. The County, however, shall be paid for all services and/or materials provided on or prior to the date of termination. 4.2 Termination for Financial Instabilitv. In the event that the City becomes ?nancially unstable to the point of ceasing to conduct business in the normal course, (ii) making a general assignment for the bene?t of creditors, or suffering or permitting the appointment of a receiver for its business or its assets, or there is a filing by or against the City of a meritorious petition in bankruptcy under any bankruptcy or debtor?s law, the County may, at its option, immediately terminate this Agreement under Section 4.1, the ?Termination for Default? clause, by giving written notice thereof. 4.3 Termination for Convenience. The City or the County may terminate this Agreement or any order under this Agreement for its convenience and without cause. The County warrants to the City that the services set forth in Exhibit A, will be performed in a professional manner, consistent with generally accepted industry standards. The sole and exclusive remedy for a breach of the limited warranty set forth in this section shall be to require the County to use commercially reasonable efforts to perform the professional services as soon as is reasonably practicable, but in no event, later than thirty (30) days from the date the City noti?es the County of such breach. The County does not warrant that the operation of the Website will be uninterrupted or error free. The City is responsible for the accuracy of all data and information on the Website. The City assumes entire risk as it applies to the quality of the data and/or information which is supplied and/or input into the Website. Should the data prove defective due to data input by the City, the City assumes the entire cost of all necessary servicing repair or correction. The foregoing warranties are in lieu of all other warranties, express or implied, including, but not limited to, the implied warranties of merchantability, ?tness for a particular purpose, good title, or satisfactory quality regardless of Whether imposed by contract, statute, course of dealing, custom or usage or otherwise ARTICLE VII - MISCELLANEOUS 7.1 Notices. Termination or expiration of this Agreement for any reason shall not release either party from any liabilities or obligations set forth in this Agreement which the parties have expressly agreed shall survive any such termination or expiration, or (ii) remain to be performed or by their nature would be intended to be applicable following any such termination or expiration. 7.4 Record Audit Retention. The City agrees to make all pertinent contractual books and records and other documents pertaining to this Agreement available to the County and its designated agents for purpose of audit and examination upon reasonable request during the term of this Agreement and for a period of two (2) years from the expiration date or ?nal payment under this Agreement, whichever is later; provided however, that should the City be noti?ed that an audit has been commenced pursuant to Ohio Revised Code Sec. 117.11 during said period, for which the aforesaid books and records are material, the aforesaid records shall be retained pending the completion of said audit. 7.5 Governing Law and Jurisdiction. This Agreement shall be governed by, and shall be construed and enforced in accordance with, the laws of the State of Ohio. The parties agree that the state and federal courts sitting in Ohio will have exclusive jurisdiction over any claim arising out of this Agreement, and each party consents to the exclusive jurisdiction of such courts. The City hereby agrees not to challenge this Governing Law and Jurisdiction provision, and further agrees not to attempt to remove any legal action outside of Cuyahoga County for any reason. All contracts in which the County is a party, including this Agreement, are subject to the Cuyahoga County Code including, but not limited to, chapters pertaining to the Cuyahoga County Ethics, Cuyahoga County Inspector General and Cuyahoga County Board of Control, Contracting and Purchasing, and the parties agree to comply with the County Code as an integral part of this Agreement. The County Code is available on the County Council?s web site 7.6 Assignment. No modi?cation, change or amendment hereof shall be valid unless such is in writing and signed by the authorized representative of the party against which such modi?cation, change or amendment is sought to be enforced. 7.9 Force Majeure. Neither Party shall be in default if its failure to perform any obligation hereunder is caused solely by supervening conditions beyond that Party?s reasonable control, including, without limitation, acts of God, civil commotion, strikes, labor disputes, or governmental demands or requirements. 7.10 Severabiligj. If any provision of this Agreement is invalid or unenforceable, that provision will be changed and interpreted to accomplish the parties? objectives to the greatest extent possible under applicable law and the remaining provisions of this Agreement will continue in full force and effect. 7.11 No Partnership. It is fully understood and agreed that this Agreement shall not be construed as creating a partnership or joint venture between the parties. The City declares that it has complied with all applicable federal, state, and local laws regarding business permits and licenses of any kind, including but not limited to any insurance coverage, workers? compensation, or unemployment compensation that is required in the normal course of business and will assume all reSponsibility for any federal, state, municipal or other tax liabilities. 7.12 Headings. The new site will act as a comprehensive informational asset for residents of the City, as well as a dynamic marketing tool for the City to highlight the diverse community and its assets, and as well as attract potential visitors and businesses to the area. Along with general information, the new site will provide ?mctionality to allow comments to be submitted, surveys to be collected, users to opt-in and opt-out of distribution lists, and questions, problems or concerns to be submitted online and routed to the appropriate City clerk or of?cial based on pre-defmed criteria. The site will include an electronic newsletter and dynamic functionality to propagate news items and event calendaring from speci?c pages to the home page or other pages as appropriate. The site will include a business directory that will allow residents to ?lter businesses by business type. The site will be easy to administer and update, allow for multiple users to have different levels of security in order to update the site, and be coded in a manner that will allow for future expansion, so that additional components and new functionality can be easily added to the site moving forward. The CCDOIT has reviewed the content on the current website. The CCDOIT assumes all content on the current site will exist in some format on the new site, and that a maximum of 10 new pages will exist on the new site. If the volume of content submitted by the City exceeds the volume of content estimated, requiring the CCDOIT designer to invest additional hours on the site, the CCDOIT will provide the City with an estimate for the additional work prior to commencing work. (See section 5 of this document titled ?Change Control?). 2.2 Website Hosting and Domain Names The CCDOIT will host and maintain the City of Seven Hills Website. While there is no limit to the number of individuals who can update the site, the CCDOIT suggests limiting access to a few contributors who will regularly make website updates. 2.4 Consistency in Site Design and Layout The CCDOIT will provide the City with 3 sample designs for review. The City has expressed an interest in the City of Brooklyn Heights? website layout, pictured on page 32 of this document. The background image, colors, fonts and navigational items may change based on future discussions with the City however, the structural layout of the home page (containing a top navigational structure with sub- navigationai elements, a footer, a dynamic section for upcoming events and a dynamic news section) will remain constant. All other pages will share a consistent look and feel, similar to that of the home page, and will contain a banner, top or left navigation area, footer, white space for text, images and links. A ?home? button will appear on all pages of the new site. Any changes requested by the City that impacts the overall site design and layout after the site has been coded and loaded with content may constitute a change order. The CCDOIT will notify the City if any requested changes necessitate a change order. 2.5 Rights, title and interest to data, access to data, recovery of deleted data The City will exclusively own all rights, title and interest in and to their data. Site updates made by CCDOIT per request by the City, or support calls after the initial 45 day period will be billable according to section 4.7 of this document. 2.7 VPN Access to Cuyahoga County?s Network The CCDOIT will provide VPN accounts and a web link for City staff to login to and perform routine updates on the site. Each staff member or persons designated to update the site for the City will be required to Sign an End User License Agreement (see ?Attachment included herein). The City will be responsible for notifying the CCDOIT of any staff members terminated by the City, or persons who should have their user accounts terminated by the CCDOIT. 2.8 Training The CCDOIT will provide a training session to City staff or designated persons on how to access the soitware and add, edit, move and delete pages, upload documents, add or remove events, add or remove links, and add graphics to the site. Detailed documentation will also be provided by the CCDOIT prior to training. The training will take place at the City, after the new site is live and in maintenance mode. The training should be scheduled within 30 days of the site going live. Should the City require additional staff persons to be trained by the CCDOIT at a later date, routine maintenance charges will billed according to section 4.7 of this document. 2.9 Accessibility Protocols, Best practices and Standards for the new site. The CCDOIT will attempt to make all portions of the web site accessible to end-users with alternate browsing devices such as text only browsers and screen-readers. The goal is to ensure ?uid reading and navigation without having to resize, pan, or scroll due to the visitor?s viewing device. The CCDOIT will prepare and develop the new Seven Hills website with the goal of implementing responsive design at a later date, meaning the initial launch of the website will n_ot be responsive. i The CCDOIT expects changes to the Synapse Publisher base code (the web-based application that is used to make updates by end users) will be completed within the ?rst quarter of 201 5. Once these changes are complete, the CCDOIT can provide the City an estimate for upgrading the site to responsive design. At this time, the estimate for implementing responsive design is not expected to exceed 20% of the total cost of the initial project. The estimated time frame for converting the site to utilize responsive design will be included in the estimate. The City may opt to hold off on the implementation of responsive design, or forego responsive design once the estimate has been reviewed. 2.11 Content for the New Website For the purposes of developing a cost estimate, the CCDOIT assumes all content on the current site will exist in some format on the new site. The current sitemap contains approximately 112 pages, listed below. Some of these pages contain only a few lines and could be combined into one or more pages. in addition, some of the pages that describe County services could be condensed with a direct link over to the County. The CCDOIT designer and designated staff person at the City will work together to determine which pages can be combined or condensed. l2 l. Bread crumbs are a navigation tool that allows users to see where the current page is in relation to the web site's hierarchy. They present a clear picture to the user where they are at in the site, and how they got there. 2.17 User tracking, Analytics and SEO The CCDOIT will utilize Google Analytics on the City website. The County will provide the City login access to the report analytics to see information such as top search phrases, most visited pages, where traf?c is coming ?om and going to, and other useful information. The City must create at least one Gmail account in order to access the analytics. Visitors to the City can opt-in and opt-out of the distribution list by setting up a user account on the website. The City may realize signi?cant print savings by going paperless with this option. The design of a custom newsletter is not included in this estimate, however a newsletter using the selected web design template is included. Once the new site has been published and training has occurred, the City shall follow procedures as outlined in section 4.7 of this document. 3.2 General ReSponsibilities City The City will designate one or two individuals to work with the assigned CCDOIT designer during the duration of the project, and after the site is live and in production. The CCDOIT designer will insert ail content and enhancing pages with professional, royalty free photography and custom graphics as appropriate. The site will be coded for search engine optimization and tested with common browsers and devices 4.3 Quality Assurance and User Acceptance Testing During this stage, the CCDOIT will promote the site to a location that is closest to the production environment. All pages will be validated to ensure they work properly in all browsers. The City should thoroughly review the site and alert the CCDOIT designer of any discrepancy in content omission, placement or graphics. Any issues found as a result of user acceptance testing will be ?xed by the CCDOIT. This is the ?nal stage prior to Go-Live. 4.4 Go Live with New Website Includes transfer of DNS, site promotion from test environment, QA environment, and ?nal production environment. This agreement is intended to protect both the County and the City from harm, subversion or sabotage. The CCDOIT will be available to make routine updates to the site between 8:00 and 4:30 PM Monday through Friday, excluding legal holidays. The CCDOIT does have support center staff on-call 24x7x3 64, and special accommodations can be made to post updates to the site in emergency situations. The CCDOIT will have ful?lled its obligations under this Statement of Work will invoice when any one of the following ?rst occurs: - The CCDOIT has achieved the tasks described in section 4, has received sign-off on the production rollout of the new website; or - If the City terminates this project for reasons beyond the control of the CCDOIT.
