Box 408Medina, Ohio 44258MANAGEMENT CONTRACTIt is agreed by and between the Board of Education of the Medina City School District, hereinaftercalled the “Board”, and David W. Knight, hereinafter called the “Employee”, that the Board inaccordance with its action as found in the minutes of the board meeting held on the twenty-first(21st) day of April 2014, hereby employs the Employee in the position of Superintendent,responsible to the Board, for a period commencing on the first day (1st) day of May 2014, andconcluding at midnight on the thirty-first (31st) day of July 2015 with a Board option to continuethis agreement for up to two (2) additional twelve (12) month periods through midnight on the thirtyfirst (31st) day of July 2017.WITNESSETH1.The Employee shall perform the duties of Superintendent in and for the District's publicschools as prescribed by the laws of Ohio, by the rules, regulations, and position descriptionadopted by the Board, and as directed by the Board in conjunction with the Treasurer.2.In consideration of an annual salary of $102,500, effective May 1, 2014, the Employee willfaithfully perform the duties prescribed by this contract. The annual salary will be paid intwenty-six (26) equal installments, and shall not be reduced except as provided by law. Theannual salary will be prorated for the period of May 1, 2014 through July 31, 2014. Annuallybeginning January 2015, between January 1st and January 31st, the Board may evaluate theperformance of the Superintendent and by February 1st will advise the Superintendent ofwhether or not the Board will extend this agreement for another twelve (12) months. If theBoard chooses to not extend the agreement another twelve (12) months, the Superintendentwill resign effective July 31st of that year. The Employee gives up all rights and means ofappeal afforded the Employee in the termination process as given in accordance with theOhio Revised Code.3.The Employee shall receive reimbursement for all actual and necessary travel and otherexpenses required in the performance of official duties under this contract subject to suchlimitation as is provided by law and Board policy.4.The Employee shall work two hundred twenty-five (225) days per contract year, of whichthree (3) days may be granted at the approval of the Board President as paid personalleave. Such personal days will then be submitted for record keeping purposes through theDepartment of Human Resources. The exact days of work will be approved by the Board.In addition, the following holidays will not be considered part of the contracted year:New Year's Day, Martin Luther King Day, Presidents' Day, Memorial Day, IndependenceDay, Labor Day, Thanksgiving Day, Thanksgiving Friday, Christmas Eve Day,Christmas Day, and New Year's Eve Day.5.For purposes of this contract, the Employee’s per diem salary is determined by dividingthe annual salary appearing in Paragraph 2 above by 225 days.Page 1 of 2: BOE ____ DK ____6.In addition to any days specified in Paragraph 4 above, the Employee shall be entitled tosick leave in accordance with Ohio law, and shall be entitled to twenty–five (25) noncontracted days off during the work year, five (5) of which may be carried over to thenext work year. The Superintendent shall have the option of not taking up to a maximumof ten (10) vacation days in a particular contract year in which case he shall becompensated for such unused days at his daily rate of compensation in addition to thesalary that would otherwise apply.7.The Board shall pick up and pay as a cash fringe benefit to the Employee one hundredpercent (100%) of the retirement contributions otherwise payable by the Employee under theEmployee's retirement system, including any additional retirement contributions generatedby this cash pick-up of the Employee's contributions. The Board shall also pick up and paythe federal Medicare tax otherwise payable by the Employee, if any, not to exceed 1.45% ofthe Employee's earnings from the Board subject to such tax and any additional such taxgenerated by this pick-up.8.In the event of the Employee's death, any monies due the Employee under this contract willbe paid in accordance with Section 2113.04 of the Ohio Revised Code or to the Employee'sestate.9.In addition to any other fringe benefits provided for in this contract, the Employee willreceive the following benefits: single dental insurance; single hospitalization and majormedical plan; single prescription drug plan; term life insurance equal to three times theEmployee’s salary (including all Board-paid retirement contributions); administrators’liability insurance; reimbursement for local, state and national professional dues subjectto the approval of the Board.10.The Employee shall be encouraged to attend appropriate professional meetings as directedby the Board, the actual and necessary expenses of such attendance to be reimbursed, subjectto all District travel policies as adopted by the Board.11.The Employee acknowledges having been informed in accordance with law of theEmployee's duties and obligations under the Employee's retirement system and accepts theprovisions of such retirement system as part of this contract.12.The Employee represents that all information furnished by the Employee to the Board inconnection with employment under this contract is accurate to the best of his knowledge.Dated this 21st day of April 2014:BY:______________________________ _______________________________David W.
